Terms and Conditions of Transport

IMPORTANT NOTICE

Please read all of the following Conditions of Carriage carefully. By engaging VJ Trucking to transport, handle, store, load, unload, or otherwise provide services in relation to your Goods, you agree to be bound by these Conditions.

Please Note:

  1. You are responsible for arranging and maintaining your own insurance cover for the Goods.
  2. Where both you and VJ Trucking are operating a business:
  3. The Goods are carried entirely at your risk.
  4. The charges for our services are calculated on this basis.
  5. To the maximum extent permitted by law, VJ Trucking is not liable for any loss of, damage to, delay of, or failure to deliver the Goods, regardless of the cause of such loss, damage, delay, or non-delivery.



1. DEFINITIONS AND INTERPRETATION

In these Conditions:

Additional Charges

Means fuel surcharges, administration fees, account keeping fees, proof of delivery fees, redelivery charges, waiting time charges, manual handling charges, remote area surcharges, residential delivery charges, tailgate charges, dangerous goods surcharges, oversized freight charges, after-hours collection or delivery charges, and any other charges published by VJ Trucking from time to time or otherwise notified to the Consignor.

Associated Entity

Has the meaning given under the Corporations Act 2001 (Cth) and includes any related body corporate, subsidiary, holding company, or associated entity of VJ Trucking.

Authority

Means any government, regulatory, administrative, customs, quarantine, port, transport, or statutory authority exercising jurisdiction within Australia.

Carriage

Includes all services performed by or on behalf of VJ Trucking relating to the Goods, whether gratuitous or otherwise, including:

  1. Collection
  2. Loading
  3. Unloading
  4. Handling
  5. Storage
  6. Packing
  7. Unpacking
  8. Transportation
  9. Documentation
  10. Administrative services
  11. Advice or consultancy services relating to transport

Carrier

Means VJ Trucking Pty Ltd and its successors, assigns, employees, agents, contractors, and subcontractors.

Chain of Responsibility Law

Means the Heavy Vehicle National Law (HVNL) and any associated legislation, regulations, codes, or guidelines applicable within Australia.

Consequential Loss

Means any indirect, special, incidental, exemplary, punitive, or consequential loss including:

  1. Loss of profit
  2. Loss of revenue
  3. Loss of production
  4. Loss of opportunity
  5. Loss of contract
  6. Loss of bargain
  7. Business interruption
  8. Loss of goodwill
  9. Loss of use
  10. Delay costs
  11. Customer claims

whether foreseeable or not.

Consignor

Means the person, business, corporation, partnership, trust, or entity requesting or arranging the Carriage of Goods by VJ Trucking.

Container

Includes any:

  1. Shipping container
  2. Trailer
  3. Wagon
  4. Flat rack
  5. Transportable tank
  6. Pallet
  7. Crate
  8. Packaging unit
  9. Freight consolidation device

used in connection with the Goods.

Crane

Means any lifting equipment used to move Goods including:

  1. Cranes
  2. Hiabs
  3. Sideloaders
  4. Forklifts
  5. Telehandlers
  6. Similar lifting machinery


Damage

Includes physical damage, contamination, deterioration, spoilage, evaporation, leakage, infestation, corrosion, breakage, and any reduction in value.

Dangerous Goods

Means goods classified as dangerous under any applicable law including goods that are:

  1. Flammable
  2. Explosive
  3. Toxic
  4. Corrosive
  5. Radioactive
  6. Hazardous
  7. Infectious
  8. Environmentally harmful

or otherwise capable of causing injury, death, damage, pollution, or loss.

Enforcement Costs

Means all costs incurred by VJ Trucking in enforcing these Conditions including:

  1. Legal costs on a full indemnity basis
  2. Debt collection fees
  3. Court costs
  4. Investigation costs
  5. Administrative expenses


Force Majeure

Means any event beyond the reasonable control of VJ Trucking including:

  1. Natural disasters
  2. Floods
  3. Fires
  4. Storms
  5. Earthquakes
  6. Pandemics
  7. Epidemics
  8. Government restrictions
  9. Quarantine requirements
  10. Road closures
  11. Border closures
  12. Industrial disputes
  13. Strikes
  14. Civil unrest
  15. Acts of terrorism
  16. Vehicle breakdowns
  17. Fuel shortages
  18. Power outages


Goods

Means all property accepted by VJ Trucking for Carriage and includes any packaging, pallet, container, equipment, or ancillary item supplied with or attached to the Goods.

Interest

Means interest charged at the rate of 1.5% per calendar month, calculated daily and compounded annually on any Outstanding Amount.

Law

Includes:

(a) all applicable legislation;

(b) regulations, codes, standards and guidelines;

(c) common law;

(d) equity; and

(e) legally binding government directives.

Outstanding Amount

Means any amount payable to VJ Trucking that remains unpaid after the due date.

PPSA

Means the Personal Property Securities Act 2009 (Cth).

Subcontractor

Means any person or entity engaged by VJ Trucking to perform all or part of the Carriage.

Interpretation

Unless the context requires otherwise:

(a) words importing the singular include the plural and vice versa;

(b) references to a person include individuals, companies, partnerships, trusts, and government bodies;

(c) headings are for convenience only and do not affect interpretation;

(d) references to legislation include amendments and replacements;

(e) the words "include", "including", and similar expressions are not words of limitation;

(f) terms used in the PPSA have the same meaning as under that Act;

(g) all indemnities survive termination of any agreement incorporating these Conditions.




2. NEGATION OF LIABILITY AS A COMMON CARRIER

VJ Trucking is not a common carrier and accepts no liability as a common carrier.

All Goods are accepted and all services are provided strictly subject to these Conditions.

VJ Trucking reserves the absolute right to refuse the carriage, handling, storage, or transportation of any Goods at its discretion.
